Terms of Service

1. Acceptance and Privacy Policy

By creating an account, clicking "I agree," or otherwise accessing or using Optserv, you confirm that you have read, understood, and agree to be bound by these Terms of Service AND our Privacy Policy (available at optserv.ai/privacy). Your agreement to these Terms constitutes your full agreement to the Privacy Policy as well. These two documents together form the complete legal agreement between you and Optserv. If you are using Optserv on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have authority to do so.

2. Eligibility

You must meet all of the following requirements to use Optserv:

• You must be at least 18 years of age. Optserv is a business operations platform intended for adults and authorized business representatives only. We do not knowingly permit persons under 18 to create accounts or use our services.

• You must have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent.

• Your use of Optserv must comply with all applicable laws and regulations in your jurisdiction.

• If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Use License

Subject to these Terms, Optserv grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes. This license does not permit you to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, sublicense, or create derivative works from the platform or any part thereof.

• Use the platform for any commercial purpose outside your own organization without our prior written consent.

• Attempt to decompile, reverse engineer, disassemble, or otherwise derive source code from any software on the platform.

• Remove, alter, or obscure any copyright, trademark, or proprietary notices.

• Use the platform in any manner that violates applicable laws, regulations, or these Terms.

• Resell, sublicense, or provide access to the platform to third parties without our written consent.

4. User Accounts

When you register for an account, you agree to:

• Provide accurate, current, and complete information and keep it updated.

• Maintain the security and confidentiality of your login credentials.

• Accept full responsibility for all activity that occurs under your account, whether or not authorized by you.

• Notify us immediately at support@optserv.ai of any suspected unauthorized access or security breach.

• Not share your account credentials with any third party.

• You may request deletion of your account and all associated data at any time by contacting support@optserv.ai. Deletion requests will be processed within 30 days, subject to applicable legal retention obligations.

5. AI-Powered Features and Third-Party Services

Optserv may use artificial intelligence, machine learning models, and various third-party technology services to power features of the platform. These providers and the specific tools we use may change over time. By using Optserv, you acknowledge and agree to the following:

• We may use one or more AI language model providers, database services, cloud hosting providers, analytics platforms, and other third-party technology services. A current list of our primary data processors is available upon request at support@optserv.ai.

• When you use AI-powered features, relevant input data may be transmitted to and processed by third-party AI providers. Each such provider's use of data is governed solely by their own privacy policy and terms of service.

• OPTSERV IS NOT RESPONSIBLE FOR THE PRIVACY PRACTICES, DATA HANDLING, SECURITY, OR ACTIONS OF ANY THIRD-PARTY SERVICE PROVIDER. We do not control what those providers do with data on their end.

• AI-generated outputs are provided for informational and convenience purposes only. They do not constitute legal, financial, HR, employment, medical, or professional advice of any kind. You assume sole responsibility for how you use or rely on any AI-generated content.

• We make no representations or warranties regarding the accuracy, completeness, reliability, or fitness of any AI-generated output for any particular purpose.

6. Your Data

You retain all ownership rights in the data, content, and information you submit to Optserv ("User Data"). By submitting User Data, you grant Optserv a limited, worldwide, royalty-free license to process, store, and use that data solely to provide and improve the services you have requested. We do not sell, rent, or trade your personal data to third parties for their own commercial purposes. You may request access to, correction of, or deletion of your User Data at any time by contacting support@optserv.ai. You are solely responsible for the legality, accuracy, and appropriateness of all User Data you submit.

7. Prohibited Uses

You agree not to use Optserv to:

• Upload, store, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

• Violate any applicable law or regulation, including data protection laws, employment laws, or export control regulations.

• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

• Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.

• Interfere with, disrupt, or overburden the platform or any servers or networks connected to it.

• Use automated scripts, bots, crawlers, or scraping tools without our prior written consent.

• Transmit malware, ransomware, viruses, or any malicious code.

• Use the platform to process or store data in violation of applicable privacy laws or the rights of third parties.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND. OPTSERV EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

• Any warranty that the platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content or information on the platform.

• Any warranty regarding results that may be obtained from use of the platform.

• Any warranty with respect to third-party services, AI-generated outputs, or any content provided by third parties.

• Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL OPTSERV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSS, EVEN IF OPTSERV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

• OPTSERV SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE PLATFORM; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY SERVICE PROVIDER'S ACTIONS, ERRORS, OR OMISSIONS; (D) ANY AI-GENERATED CONTENT YOU RELY UPON; (E) ANY BUGS, VIRUSES, OR HARMFUL CODE TRANSMITTED THROUGH THE PLATFORM BY THIRD PARTIES.

• OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU ACTUALLY PAID TO OPTSERV IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE CLAIM, OR (B) USD $1.

• THE ABOVE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW CERTAIN DAMAGE EXCLUSIONS OR LIABILITY CAPS, SO THE ABOVE MAY NOT FULLY APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Optserv and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the platform.

• Your violation of these Terms or any applicable law or regulation.

• Any content or User Data you submit, post, transmit, or make available through the platform.

• Your violation of any third party's rights, including intellectual property, privacy, or contractual rights.

• Any dispute between you and any third party arising from your use of the platform.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

• Informal Resolution: Before filing any formal claim, you agree to contact us at support@optserv.ai and attempt to resolve the dispute informally for at least 30 days.

• Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the platform shall be resolved by binding arbitration administered in Taipei, Taiwan, under applicable arbitration rules, rather than in court.

• No Class Actions: YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTIONS, OR ANY OTHER REPRESENTATIVE PROCEEDING. All disputes must be brought on an individual basis only.

• Governing Law: These Terms and any disputes arising hereunder are governed by the laws of the Republic of China (Taiwan), without regard to conflict of law principles.

• Jurisdiction: To the extent court proceedings are permitted or required, you irrevocably consent to the exclusive jurisdiction of the courts located in Taipei, Taiwan.

• Time Limitation: Any claim must be filed within one (1) year of the event giving rise to the claim or it is permanently barred.

12. Termination

Optserv reserves the right to suspend or terminate your access to the platform at any time, with or without cause, and with or without prior notice. Grounds for termination include but are not limited to violations of these Terms. Upon termination: (a) your license to use the platform immediately ceases; (b) you must stop using the platform; (c) we may delete your account and data in accordance with our Privacy Policy. You may terminate your account at any time by contacting support@optserv.ai. Sections 8, 9, 10, 11, 13, and 14 shall survive any termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes take effect upon posting to this page, with the "Last Updated" date revised accordingly. For material changes, we will make reasonable efforts to notify you via email or a notice on the platform. YOUR CONTINUED USE OF THE PLATFORM AFTER ANY CHANGES CONSTITUTES YOUR ACCEPTANCE OF THE REVISED TERMS. If you do not agree to the revised Terms, you must stop using the platform.

14. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Optserv regarding the platform and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right. We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
